Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Nymble IO platform at nymble.io (the "Service") operated by Nymble IO ("Nymble", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Nymble is an all-in-one agency management platform that includes CRM, contracts, project management, time tracking, billing, reporting, and AI-powered assistants. The Service is provided as a cloud-based software-as-a-service (SaaS) application.

2. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access

You must be at least 16 years old to create an account. By creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Free Trial

We offer a 14-day free trial of the Service. During the trial period, you have access to all features of the plan you select. At the end of the trial, your account will be downgraded unless you subscribe to a paid plan. We reserve the right to modify or discontinue the free trial at any time.

4. Subscription Plans and Billing

The Service is offered under the following subscription plans:

  • Core — $9 per user per month
  • Pro — $19 per user per month
  • Elite — $39 per user per month

Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as expressly stated in these Terms or required by law. We may change pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle.

5. Your Data

You retain all rights to the data you submit to the Service ("Your Data"). You grant us a limited license to use Your Data solely to provide, maintain, and improve the Service. We will not access Your Data except as necessary to provide the Service, respond to support requests, or comply with legal obligations.

You are responsible for maintaining backups of Your Data. You can export Your Data at any time through the Service's export features.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send unsolicited communications (spam)
  • Resell or redistribute the Service without our written consent
  • Use the Service in a way that could harm other users or their data

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by Nymble and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

We may use your company name and logo on our website and marketing materials as a customer reference, unless you opt out by contacting us.

8. AI Features

The Service includes AI-powered features that use third-party AI providers. AI-generated outputs are provided "as is" and should be reviewed before use. You are responsible for verifying the accuracy of any AI-generated content. We do not guarantee that AI outputs will be error-free, complete, or suitable for any particular purpose.

9. Third-Party Integrations

The Service may integrate with third-party applications. Your use of third-party integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control, including internet outages, force majeure events, or third-party service failures.

11. Limitation of Liability

To the maximum extent permitted by law, Nymble shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Nymble and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. We may suspend or terminate your account if you violate these Terms, with notice where practicable.

Upon termination, your right to use the Service ceases. We will retain Your Data for 90 days after termination, during which you may request an export. After this period, Your Data will be permanently deleted.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

17. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nymble.
  • Severability — If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver — Failure to enforce any right or provision does not constitute a waiver.
  • Assignment — You may not assign these Terms without our consent. We may assign our rights and obligations without restriction.
